1. General provisions
1.1. This Agreement is an official public offer (offer) of the Torbafood.ua online store (hereinafter referred to as the "Seller") to conclude a Contract for the purchase and sale of goods remotely with any individual or legal entity (hereinafter referred to as the "Buyer") who has accepted the terms of this offer.
1.2. In accordance with Articles 633, 641 of the Civil Code of Ukraine, this document is a public contract, the terms of which are the same for all Buyers.
1.3. Acceptance (acceptance of the terms) is considered to be the placing of an order on the Torbafood.ua website or in another way (by phone, e-mail, etc.).
2. Subject of the Agreement
2.1. The Seller undertakes to transfer the ownership of the goods presented on the Torbafood.ua website to the Buyer, and the Buyer undertakes to accept and pay for them under the terms of this Agreement.
2.2. The name, price, quantity and other characteristics of the goods are specified in the Buyer's order.
3. Order processing procedure
3.1. The order is placed by the Buyer through the website or using the Seller's manager.
3.2. After placing the order, the Buyer receives confirmation (by phone, e-mail or via messenger).
3.3. In the event of the absence of part of the goods in stock, the Seller notifies the Buyer and offers an alternative, change in delivery times or partial cancellation of the order.
4. Price and payment terms
4.1. Prices for goods are indicated in hryvnias on the Torbafood.ua website.
4.2. The seller reserves the right to change prices without prior notice, but after confirming the order, the price remains fixed.
4.3. Payment is made in one of the following ways:
- online via the Prom-oplata system;
- postpay upon receipt (with carrier's commission);
- prepayment (for new or wholesale customers);
- cashless payment for legal entities.
4.4. For new customers, a 10% prepayment is provided for orders over 5,000 UAH.
5. Delivery terms
5.1. Delivery is carried out in Ukraine and European countries using Nova Poshta, Ukrposhta, Meest or other logistics companies.
5.2. The delivery time depends on the selected transportation service and the region of receipt.
5.3. The cost of delivery is calculated according to the carrier's tariffs and is paid by the Buyer (except for promotional cases with free delivery).
5.4. International shipments up to 150 euros are not taxed in accordance with current legislation.
6. Return and exchange of goods
6.1. Return or exchange of goods of proper quality is possible within 14 days from the date of receipt, if the goods have not been used, have preserved their presentation and packaging (in accordance with the Law of Ukraine "On Protection of Consumer Rights").
6.2. Return of goods of improper quality is carried out at the expense of the Seller.
6.3. Money is returned in the same way as the payment was made.
7. Rights and obligations of the parties
The Seller undertakes:
- to process orders in a timely manner;
- to ensure proper quality of the goods;
- to provide the Buyer with complete information about the goods.
The Buyer undertakes:
- to provide reliable contact information;
- to pay for the order in a timely manner;
- to accept the delivered goods.
8. Confidentiality
8.1. All personal data of the Buyer are processed in accordance with the Privacy Policy of Torbafood.ua.
8.2. The Seller guarantees non-disclosure of personal data to third parties, except in cases provided for by law or necessary for the execution of the order.
9. Responsibility of the Parties
9.1. The Seller is not responsible for delivery delays caused by the work of carriers or force majeure.
9.2. The Buyer is responsible for the accuracy of the information provided when placing the order.
10. Force majeure
10.1. The Parties are exempt from liability for failure to fulfill the terms of the Agreement in the event of force majeure (war, fire, flood, epidemic, disruptions in transport, etc.).
11. Term of the Agreement
11.1. This Agreement shall enter into force upon acceptance by the Buyer and shall remain in effect until the parties have fully fulfilled their obligations.
11.2. The Seller has the right to change the terms of the Agreement without prior notice by posting an updated version on the website.
